Terms of service
These terms are an agreement between you and Glacier Backups, LLC ("Glacier Backups", "we") covering your use of Data Convoy and glacierbackups.com (the "Service"). Last updated September 2, 2026.
Acceptance and eligibility
By requesting a sign-in code, accepting a team invitation, subscribing through AWS Marketplace, or otherwise using the Service, you agree to these terms. If you use the Service on behalf of an organization, you confirm you are authorized to bind it, and "you" means that organization. You must be at least 18 and able to form a binding contract. If you do not agree, do not use the Service.
What the Service is
Data Convoy is a control plane. It coordinates archive, backup, and restore jobs, tracks their status, and keeps job and audit metadata describing what moved, when, and who authorized it. Your objects stay in S3 buckets in your own AWS account and are moved by workers you register and run under your own AWS credentials. Glacier Backups never holds a copy of your data and never holds credentials for your AWS account. Some features may be offered as early access and can change or be withdrawn.
Your responsibilities
You are responsible for your AWS account, including the IAM permissions granted to workers, the configuration of your buckets, and any lifecycle or access policies applied to them. You are responsible for the workers you operate, including keeping worker tokens confidential and revoking them when a worker is retired or compromised. You are responsible for who you invite to your teams and the roles you grant them, for keeping your sign-in email secure, and for having the legal right to store and process the data you send through the Service. Verify-and-remove archives delete the production source after verification, so confirm your selection before enabling it.
Fees and billing
Data Convoy is free within the limits described on the pricing page. Paid plans cost $0.30 per TB per month for the managed bytes in your production bucket, billed either through an AWS Marketplace subscription on your AWS bill or through a direct-pay plan invoiced monthly in arrears. Marketplace purchases are also subject to AWS Marketplace terms. Fees exclude taxes, which you are responsible for. All AWS charges, including storage, retrieval, requests, data transfer, and worker compute, are billed by AWS, not by us. We may change prices with at least 30 days' notice; changes apply from your next billing period.
Free tier limits
Free accounts are limited in owned teams, registered workers, and total managed bytes, as set out on the pricing page. Exceeding a limit blocks creation of new archive and backup jobs on that account only; it never blocks restoring data you have already archived or browsing your buckets. A paid plan lifts these limits. If a paid subscription lapses, the free-tier limits apply again until it is restored, without affecting data already in place.
Availability and support
We work to keep the Service available and responsive, but we do not commit to a specific uptime level or support response time. Support is provided on a reasonable-efforts basis by email. We may modify or discontinue features, and we will give reasonable notice before discontinuing the Service or removing a feature you rely on.
Acceptable use
You may not use the Service to store or process data you have no right to hold; to circumvent access controls, team boundaries, or permission checks; to probe, disrupt, or overload the Service or the infrastructure it runs on; to reverse engineer the Service except where the law permits; or in violation of applicable law, including U.S. export control and sanctions laws. We may investigate suspected violations and suspend access as described below.
Intellectual property
Glacier Backups and its licensors own the software, branding, and documentation that make up the Service. We grant you a limited, non-exclusive, non-transferable right to use the Service under these terms; nothing transfers ownership to you. You own the data you store, archive, or restore through the Service. We claim no rights in it and use it only to provide the Service. If you send us feedback, we may use it without obligation to you.
Confidentiality
Each party may receive non-public information from the other, such as configuration details, security materials, or usage data. Each party will use the other's confidential information only to perform under these terms, protect it with reasonable care, and not disclose it except to provide or receive the Service or as required by law.
Warranty disclaimer
The Service is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any archive, backup, or restore will complete without loss. Verify results before relying on them.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, revenue, or profits, arising from these terms or the Service, even if advised of the possibility. Each party's total liability under these terms is limited to the amount you paid Glacier Backups in the twelve months before the event giving rise to the claim, or $100 if you paid nothing. These limits do not apply where the law does not allow them.
Indemnification
You will defend and indemnify Glacier Backups against third-party claims arising from your data, your use of the Service in violation of these terms, or your violation of law. We will defend and indemnify you against third-party claims that the Data Convoy software, as provided by us, infringes their intellectual property rights, except where the claim arises from your data or from modifications or combinations we did not supply.
Suspension and termination
We may suspend or terminate your access if you materially breach these terms or if payment on a paid plan is past due, normally after notice and a chance to cure where practical. You may stop using the Service and close your account at any time by contacting us. On termination your right to use the Service ends; your data remains in your own AWS account, and we delete account data as described in the Privacy Policy. Sections that by their nature should survive, including payment, confidentiality, disclaimers, liability limits, and indemnification, survive termination.
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute arising under them will be brought exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction there.
Changes to these terms
We may update these terms from time to time. For material changes we will notify account owners by email or an in-product notice before they take effect; continuing to use the Service afterwards means you accept the updated terms. The date at the top shows the latest revision.
General
These terms, together with the Privacy Policy and any order or Marketplace listing you accept, are the entire agreement between us about the Service. If any provision is unenforceable, the rest remains in effect. A party's failure to enforce a right does not waive it. You may not assign these terms without our consent; we may assign them in a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
